Startup Pitch Submission Terms
These terms apply when a founder or authorized company representative submits company materials through this website.

Purpose
The founder submission form allows startup founders or authorized company representatives to share company information for potential private review by Nick Grigash as a personal angel investor. It is not a fundraising marketplace, investor network, broker-dealer service, investment adviser service, crowdfunding portal, exchange, or securities platform.
No NDA; Non-Confidential Submission
Please do not submit confidential information unless there is a separately signed written NDA or confidentiality agreement. Unless such a separate written agreement exists, your submission is non-confidential and may be reviewed without any duty of confidentiality.
Do Not Submit Sensitive or Restricted Materials
Do not submit trade secrets, highly confidential information, material non-public information, export-controlled data, classified information, health data, children’s data, government IDs, passwords, bank details, source code, third-party confidential information, or personal information that is not requested unless there is a separate written agreement and a lawful basis to do so.
Authority and Rights
By submitting materials, you represent that you are at least 18 years old, authorized to submit on behalf of the company, and have all rights and permissions needed to provide the submitted materials and links. You are responsible for the accuracy, completeness, legality, and authorization of your submission.
Limited License to Review and Store
You grant Nick Grigash a limited, non-exclusive, worldwide, royalty-free license to receive, copy, store, access, internally review, evaluate, and use your submission for investment-related, operational, legal, compliance, security, and recordkeeping purposes. This license does not transfer ownership of your underlying intellectual property.
No Obligation to Review, Respond, or Invest
Submitting a pitch does not create any obligation to review, respond, conduct diligence, request more information, schedule a call, provide advice, provide introductions, negotiate terms, issue a term sheet, invest, or enter into any transaction.
No Relationship Created
A submission does not create a confidential, fiduciary, advisory, attorney-client, broker-dealer, placement agent, investment adviser, partnership, agency, employment, joint venture, or other professional relationship. Nick Grigash does not owe compensation for reviewing, considering, or declining a submission.
Similar Ideas, Companies, and Conflicts
Nick Grigash may already know of, review, invest in, advise, work with, or later invest in companies, ideas, technologies, markets, products, strategies, or opportunities that are similar to or competitive with your company. Your submission does not restrict any current or future activities and does not create exclusivity.
Securities-Law Responsibility
You and the company are responsible for complying with applicable securities laws, including laws relating to private placements, general solicitation, accredited investors, anti-fraud rules, required disclosures, filings, and non-U.S. requirements. The website does not host a securities offering process.
No Public Endorsement
A submission, response, meeting, diligence request, or investment discussion does not authorize you to state or imply any public endorsement, approval, commitment, valuation, performance claim, or investment outcome.
Future Transactions Require Separate Documents
Any investment, if made, would be separate from this website and subject to private review, due diligence, legal review, mutually agreed definitive documents, and applicable law.
Privacy and Retention
Submissions may be retained as described in the Privacy Policy. Records may be kept for review, legal/compliance, security, recordkeeping, and dispute prevention purposes.
