Founder Submissions
Founder submissions are governed by the Startup Pitch Submission Terms. Submitting a pitch does not guarantee review, response, diligence, investment, advice, introductions, or any transaction.
No Professional Advice
Website content is for general informational purposes only. It is not investment, legal, tax, accounting, financial, business, or other professional advice. You should consult your own advisers before making fundraising, securities, legal, tax, or business decisions.
No Securities Offering or Regulated Intermediary Activity
Nothing on this website is an offer to sell securities, a solicitation of an offer to buy securities, an investment recommendation, or a securities marketplace. The website is not a broker-dealer, placement agent, underwriter, funding portal, crowdfunding portal, exchange, investment adviser, or investment advisory service. See the Investment Disclaimer for more detail.
Third-Party Links and Tools
The website may link to third-party websites, tools, email systems, hosting providers, document links, or other services. Those third parties are responsible for their own services, terms, and privacy practices. Links do not imply endorsement.

Limitation of Liability
To the maximum extent permitted by law, Nick Grigash will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for lost data, lost opportunities, loss of goodwill, or business interruption arising from the website or a submission, even if advised of the possibility of those damages.
Indemnification
You agree to defend, indemnify, and hold harmless Nick Grigash from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your misuse of the website, unlawful or infringing submissions, breach of these Terms, or violation of another person’s rights.
Termination
Access to the website may be suspended or terminated at any time, including if these Terms are violated or if continued access could create legal, security, operational, or reputational risk.
Changes to These Terms
These Terms may be updated from time to time. The updated version will be posted on this page with a new “Last updated” date. Your continued use of the website after an update means you accept the updated Terms.
Governing Law
These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law principles.
Dispute Resolution; Arbitration; Class Waiver
Before filing a claim, you agree to first contact legal@grigash.com and attempt to resolve the dispute informally. If a dispute cannot be resolved informally, either party may elect binding individual arbitration in California, administered by a mutually agreed arbitration provider under its applicable rules, except that either party may seek injunctive or equitable relief in court for misuse of intellectual property, confidential information, security systems, or personal information.
To the extent permitted by law, disputes must be brought only in an individual capacity and not as a plaintiff or class member in any class, consolidated, private attorney general, or representative proceeding. You may opt out of this arbitration and class waiver section by emailing legal@grigash.com within 30 days after first accepting these Terms and stating that you opt out of arbitration.
Severability, Assignment, and Entire Agreement
If any part of these Terms is unenforceable, the rest remains in effect. You may not assign these Terms without prior written consent. These Terms, together with the linked legal documents, are the entire agreement between you and Nick Grigash regarding website use.
